The following Terms & Conditions, together with our Privacy Policy and pricing terms (collectively, "Terms & Conditions") govern your access to and use of the Company’s mobile application, tablet application, technology platform, tools, and website including any content, functionality, and services offered on or through such application, website, or platform (the "CopingCard").
These Terms & Conditions apply to all visitors, users, and others who access or use CopingCard. The term “you” used throughout refers to the individual user of CopingCard.

By using the Site, you represent and warrant that (i) you are at least 18 years of age, (ii) you have legal authority to enter into a legally binding obligation for yourself or for the person on whose behalf you are acting, and (iii) you will only use CopingCard for legitimate reasons.

1. Notice Regarding HIPAA Compliance
-
Depending on our role in your healthcare strategy, CopingCard may be required to protect your health and medical information under the Health Insurance Portability and Accountability Act (“HIPAA”) and applicable state and local laws.
-
Under HIPAA, we are obligated to maintain the confidentiality of and limit the use of your Protected Health Information or PHI (as defined in HIPAA).
-
If CopingCard serves as a provider of healthcare, then we may be deemed a “covered entity” under HIPAA. As a covered entity, we rely on professional ethics and best judgment in deciding when/if your PHI may be disclosed and to whom, but only in situations that concern the treatment, payment, and health care activities or when required to do so pursuant to law.
-
If we are acting on instruction from your therapist/mental health specialist, then we may be deemed a “business associate” under HIPAA. If you are a business associate, you acknowledge that we are acting solely upon instructions from your medical provider. You acknowledge that as a business associate, we are free to collect and share your PHI pursuant to a Business Associate Agreement between us and your medical care provider.
-
For more information on our HIPAA obligations, please contact us at hipaa@copingcard.com.

-
The Company will cooperate with any and all appropriate legal authorities in investigating claims of illegal activity.
6. Intellectual Property Rights
-
You acknowledge that CopingCard and any underlying technology used in connection with CopingCard, and all contents, features, services, and functionality software, material, information, communications, text, graphics, icons, scripts, links, electronic art, animations, audio, video, photos, and other data and the selection, and arrangement thereof (collectively, the “Content”) are provided by the Company or third-party providers and are the intellectual property of the Company and/or such third parties. Content is owned or licensed by the Company and/or third parties and is protected under copyright, trademark, and other proprietary and intellectual property right laws.
-
The Company grants you a limited license that is non-exclusive and not transferable, to access, and use the Company’s Content for your personal and private use only while using CopingCard.
-
You may not copy, reproduce, publish, distribute, modify, create derivative works of, rent, lease, sell, transfer, display, broadcast, transmit, compile or collect in a database, or in any manner commercially exploit any part of CopingCard or the Company’s or third party’s Content, in whole or in part. You may not store any portion of any Content owned by, or licensed to the Company in any form, whether archival files, computer-readable files, or any other medium. You also may not “mirror” CopingCard or any Content on any other server.
-
If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of CopingCard and/or Content, your right to use CopingCard will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to CopingCard or any Content is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of any Content not expressly permitted by these Terms & Conditions is a breach of these Terms & Conditions and may violate copyright, trademark, and other laws.
-
The Company name, the term CopingCard, the Company logo, and all related names, logos, domain names, product and service names, designs, and slogans are trademarks of the Company. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on CopingCard are the trademarks of their respective owners.
7. User Content
-
Your content stays yours. Worksheets, forms, cards, programs, notes, files, photos and any other material that you create, import, upload or otherwise put into CopingCard, including material that CopingCard’s tools (such as worksheet import) produce from what you upload, are your “User Content.” As between you and the Company, you own your User Content. Nothing in these Terms & Conditions transfers ownership of it to the Company. User Content is not part of the Company’s Content described in Section 6.
-
What you promise about it. You represent and warrant that (i) you own your User Content or hold all rights, licenses and permissions needed to use it in CopingCard in the ways these Terms & Conditions describe, and (ii) your User Content, and our use of it as these Terms & Conditions permit, does not and will not infringe or violate any copyright, trademark, privacy, confidentiality or other right of any person or break any law. This includes copyright in worksheets, forms, questionnaires, assessments and other materials made by someone else. A worksheet being available online, or being free to download, does not by itself mean you may copy it, import it or share it through CopingCard. Import or copy a third-party worksheet only if you own it, have permission, or a legal exception clearly applies.
-
Our license to run the service for you. You grant the Company a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, process, display, print and transmit your User Content, and to process it with automated and artificial-intelligence tools (for example, tools that turn an uploaded PDF or photo of a form into an editable template), solely to provide CopingCard to you and to the other people you choose to share it with through CopingCard, such as your clients or your practice. The license lasts for as long as your User Content is in CopingCard. It ends when you delete the User Content or your account, except that copies remain in routine backups for a limited time and we may keep what the law requires us to keep, in each case under our Privacy Policy.
-
We do not review or endorse User Content. The Company does not review, verify, endorse or take responsibility for User Content, and it is not responsible for what you or other users create, import, upload, share or print. Materials printed from User Content show the user as their author (for example, “Prepared by [practice] with CopingCard”). Only content that the Company itself created carries the CopingCard logo.
-
Copyright complaints (notice and takedown). The Company respects the rights of copyright owners and responds to notices that comply with the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512). If you believe that material in CopingCard infringes your copyright, send a written notice to support@copingcard.com (subject line: “Copyright notice”), or by mail to CopingCard, Inc., 17657 Candlewood Ter, Boca Raton, FL 33487, that includes:
- your physical or electronic signature, or that of a person authorized to act on behalf of the copyright owner;
- identification of the copyrighted work you claim has been infringed (or, for several works at one place, a representative list);
- identification of the material you claim is infringing, with information reasonably sufficient for us to find it (for example, the practice’s name and the worksheet’s name or link);
- your name, postal address, telephone number and email address;
- a statement that you have a good-faith belief that the use of the material in the way complained of is not authorized by the copyright owner, its agent or the law; and
- a statement that the information in the notice is accurate and, under penalty of perjury, that you are the copyright owner or are authorized to act on the owner’s behalf.
Under 17 U.S.C. § 512(f), a person who knowingly and materially misrepresents that material is infringing, or that it was removed by mistake, can be liable for damages, including costs and attorneys’ fees. Notices that do not meet these requirements may not be acted on.
-
What we do on a notice. When we receive a notice that substantially meets these requirements, we will promptly remove the material or disable access to it, and we will make a reasonable effort to tell the user who provided it.
-
Counter-notice. If your User Content was removed or disabled and you believe this was a mistake or misidentification, you may send a written counter-notice to the same address that includes: (i) your physical or electronic signature; (ii) identification of the material removed and the place where it appeared before it was removed; (iii) a statement, under penalty of perjury, that you have a good-faith belief that the material was removed because of mistake or misidentification; and (iv) your name, postal address and telephone number, and a statement that you consent to the jurisdiction of the federal district court for the judicial district where your address is located (or, if your address is outside the United States, any judicial district in which the Company may be found) and that you will accept service of process from the person who sent the notice or that person’s agent. We will send a copy of your counter-notice to the person who sent the original notice. Unless that person tells us within 10 business days that it has filed a court action to restrain the alleged infringement, we may restore the material no sooner than 10 and no later than 14 business days after receiving your counter-notice (17 U.S.C. § 512(g)).
-
Repeat infringers. In appropriate circumstances, the Company will terminate the accounts of users who are repeat infringers (17 U.S.C. § 512(i)).
-
Where notices go. Copyright notices and counter-notices go to the address in Section 7.5. If the Company registers a designated agent with the U.S. Copyright Office, we will name that agent in this Section, and a notice sent to the address in Section 7.5 will still reach us.
-
Your responsibility. You are responsible for your User Content and for any claim that it infringes someone’s rights, as set out in Section 11.
8. Reliance on CopingCard for Information, Assessments and Recommendations
-
The information presented on or through CopingCard is made available solely for general information purposes.
-
You acknowledge and agree that CopingCard and the Company are not responsible for any damages or liability that may result from using CopingCard.
9. Your Privacy
- CopingCard has a firm commitment to safeguarding your privacy. Please review CopingCard’s Privacy Policy. The terms of CopingCard’s Privacy Policy are considered part of, and are incorporated into, these Terms & Conditions. By accepting these Terms & Conditions, you accept our Privacy Policy.
10. Our Liability, Disclaimer of Warranty, And Limitations Of Liability
-
You understand that we cannot and do not guarantee or warrant CopingCard will be free of viruses or other destructive code. You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our site for any reconstruction of any lost data.

-
TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY SITE LINKED TO IT.
